<blockquote>The City of Lathrup Village, Michigan, prohibits leasing commercial property without a license. But the City will not issue a license unless the property owner first discloses the names of prospective tenants and a description of the tenants’ principal business activity.</blockquote>
<blockquote>Petitioners omitted this information in a license application to comply with a nondisclosure provision in its lease agreements, were denied a license, and are therefore prohibited from renting their property. They sued under 42 U.S.C. § 1983, challenging the disclosure requirement as an unconstitutional “Law impairing the Obligation of Contracts.” U.S. Const. art. I, § 10.</blockquote>
<blockquote>The Sixth Circuit, joining the Fourth, held that “an alleged Contracts Clause violation cannot give rise to a cause of action under § 1983.” App. 37a. In contrast, the Second, Third, Eighth, and Ninth circuits have concluded either expressly or implicitly that a Contracts Clause claim may be brought under Section 1983.</blockquote>

<blockquote>This is a challenge to the Port's attempt to take property in an <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.texasobserver.org/port-freeport-industrial-takeover-black-community/">historic African-American community</a>, with the stated purpose of the taking being "expansion of the Port Facilities" and "the development of business industries." Slip op. at 3.&#0160;</blockquote>
<blockquote>The owners objected, asserting that there's gotta be a plan. Or at least a better plan than that.</blockquote>
<blockquote>We know that the U.S. Supreme Court in <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2025/02/is-having-a-redevelopment-plan-enough-to-justify-public-use-rational-basis-review.html"><em>Kelo</em> focused on the plan as the key</a>. If there's a comprehensive plan (along the lines of <em>Euclid</em> and zoning), the Court will have the same confidence in the outcome as it does in zoning. This is the basis for the rational basis review the Court applied in <em>Kelo</em> (and in <em>Midkiff</em> and in <em>Berman</em>). Texas statutes and its courts take a similar approach under the Texas Constitution (see slip op. at 6-7).</blockquote>
<blockquote>The Port asserted it has a plan (see the above quotes for the public use and purpose, as it stated). Problem was, this apparently is the extent of the plan. "Expansion" and "business development." That's it.&#0160;</blockquote>
<blockquote>But the Port argued that's enough. But even when put under oath, the Port's CEO could only suggest some uses it might make:</blockquote>
<blockquote>
<blockquote>Nor did the Port cure its failure through discovery. The Port’s CEO threw out many possible uses for the Landowners’ property, once it belonged to the Port: it could be used for offices, warehouses, roads, storage, inspections, staging for trucks, or refrigerated facilities. The facilities could be built by the Port, or by partnerships, or by businesses that sell food to Kroger or HEB, or by some other private entity. “Private property cannot be imperiled with such nonchalance.” <em>See id</em>. at 199. Some of those uses might satisfy the Constitution’s public use mandate, but some might not; we cannot determine where this taking falls unless we know what use is intended.</blockquote>
<blockquote>The Port argues that it couldn’t have done any better; it can’t specify how the property will be used until it has contracted with the private party who will use the property, and it can’t contract with a private party until it owns the property.</blockquote>
</blockquote>
<blockquote>Slip op. at 8 (footnote omitted).&#0160;</blockquote>
<blockquote>The court rejected the argument, concluding that "[t]his argument would set up a perverse incentive." <em>Id.</em> You need to be specific, condemnor, and [i]f the Port is unable to name a specific public use, it should dismiss its case." <em>Id.</em> (footnote omitted).&#0160;</blockquote>
<blockquote>The court rejected the Port's claim that this was specific enough, and it "needed to plead only a 'categorical use' to condemn[.]" Slip op. at 1. No, the court held, "'I'm, from the [Port], and I'm here [for a public use]' would be enough." <em>Id.</em>&#0160;</blockquote>
<blockquote>Merely parroting the language in the code for the permissible uses of eminent domain is not enough: "the Port is required to plead a public use that is specific to these Landowners' property." Slip op. at 7.&#0160;</blockquote>
<blockquote>The court remanded the case to the trial court to allow the Port another chance to "replead its case with the specificity required[.]" Slip op. at 10. Anyone know why the court didn't just dismiss without prejudice, which to us appears to be the more correct appellate remedy here? In short, the Port will have another opportunity to concoct a plan--a plan it apparently never had.&#0160;</blockquote>

<blockquote>In <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.scribd.com/document/917918184/Hilo-Bay-Marina-LLC-v-State-of-Hawaii-No-SCAP-23-0000310-Haw-Sep-12-2025"><em>Hilo Bay Marina, LLC v. State of Hawaii</em></a>, No. SCAP-23-0000310 (Sep. 12, 2025), the Hawaii Supreme Court held that a restriction in a land patent issued by the State of Hawaii's predecessor-in-interest (the Territory of Hawaii) in 1922, that limited the uses of the land to "Church purposes only" cannot be enforced under the state constitution's establishment clause.&#0160;</blockquote>
<blockquote>As the court put it:</blockquote>
<blockquote>
<blockquote>This appeal arises from a 1922 Land Patent issued by the Territory of Hawaii (Territory) to the trustee of a religious organization for certain lands located on Hawaii Island (the Property). The Land Patent contains a deed restriction that the Property must be used “for Church purposes only” and that, if the Property is used for other purposes, the land grant is voided and the Property reverts to the Territory (Deed Restriction).</blockquote>
<blockquote>Following the initial 1922 conveyance, the Property was transferred to different owners via private land transactions that occurred in 1988, 2000, and 2015, each referencing the original Land Patent. There is no dispute that the Deed Restriction and reversionary interest carried over with each transaction.</blockquote>
<blockquote>Plaintiffs-Appellants Hilo Bay Marina, LLC (Hilo Bay) and Keaukaha Ministry, LLC (Keaukaha Ministry) (collectively, Appellants) are the current owners of the Property. Appellants filed this action against Defendants-Appellees State of Hawaii and the State of Hawaii Board of Land and Natural Resources (collectively, the State) in the Circuit Court of the Third Circuit (Circuit Court), asserting that the State refuses to remove the Deed Restriction and continues to assert that it is enforceable. Appellants contend that the Deed Restriction is void under Hawaii Revised Statutes (HRS) § 515-6(b) (2018); violates the Hawaii Establishment Clause in article I, section 4 of the Hawaii Constitution; and violates the Federal Establishment Clause in the First Amendment to the United States Constitution.</blockquote>
<blockquote>The parties filed cross-motions for summary judgment (MSJ) in the Circuit Court. The Circuit Court entered summary judgment for the State, concluding that the Territory’s sale of government lands with deed restrictions was an early form of use-zoning; and that the Deed Restriction in this case did not violate any of the laws asserted by Appellants.</blockquote>
<blockquote>Appellants appealed to the Intermediate Court of Appeals (ICA). We granted transfer to this court.</blockquote>

But when Congress does this, is it a taking?&#0160;</blockquote>
<blockquote>
<blockquote>Medicare Part D is a voluntary prescription drug benefit program for Medicare beneficiaries. When Congress first created Part D in 2003, it barred the Centers for Medicare and Medicaid Services (“CMS”) from using its market share to negotiate lower prices for the drugs it covers. But Congress changed course when it enacted the Inflation Reduction Act of 2022 (the “IRA”). The IRA includes a Drug Price Negotiation Program (the “Program”) that directs CMS to negotiate prices over a subset of covered drugs that lack a generic competitor and represent the highest expenditures to the government.</blockquote>

U.S. Dep't of Health & Human Svcs</em>.</a>, No. 24-1820 (Sep. 4, 2025), the U.S. Court of Appeals for the Third Circuit held no, it isn't.&#0160;&#0160;</blockquote>
<blockquote>The court first rejected the pharma company plaintiffs' physical takings argument, which asserted that the Program "permits the government to physically appropriate their drugs without paying just compensation." Slip op. at 19. The court held no, this isn't an involuntary expropriation but rather a program in which the companies voluntarily participate. Thus, if the companies don't like the prices demanded by the government they "are free to stop doing business with the government." Slip op. at 20. The can opt out, and "[t]his opt-out option defeats the Companies' argument that they were forced to sign contracts under the Program." Slip op. at 21.</blockquote>
<blockquote>The court also concluded that the unconstitutional conditions doctrine (<em>Nollan-Dolan</em>) did not render the companies' participation in the Program <em>in</em>voluntary, because this isn't a land use exaction, and the <em>N-D</em> principles are not applicable when the government leverages its power to coerce the companies into the Program. Yes, the federal government is the 800-pound gorilla, but that doesn't change the fact that you don't have to do business with it:</blockquote>

<blockquote>The federal government, by virtue of its size, possesses a sizable market share in many of the markets it enters. In certain markets—for example, for military hardware that is unlawful for civilians to own—the government may be the only purchaser. Economic factors may have a strong influence on a company’s choice to do business with the government, but a company that chooses to do so still acts voluntarily.</blockquote>

<blockquote>The federal government <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.supremecourt.gov/DocketPDF/25/25A228/370626/20250828131034393_25a___US_v_Darby_Development--Cert_Ext_Appl-rev.pdf">has asked</a> (and been granted), an extension of time in which to file a cert petition in the <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2025/06/fed-cir-denies-en-banc-tees-up-scotus-does-only-authorized-goverment-action-support-a-takings-claim.html"><em>Darby</em></a> case.</blockquote>
<blockquote>That's the one in which the U.S. Court of Appeals for the Federal Circuit allowed a claim that the federal government is liable for a physical taking for the Center for Disease Control's residential eviction moratorium. <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2021/08/scotus-strikes-down-cdc-eviction-moratorium-and-leaves-tantalizing-clues-about-takings.html">The U.S. Supreme Court eventually invalidated the moratorium</a>, and several property owners who were prevented from removing tenants are seeking just compensation.&#0160;</blockquote>
<blockquote>There's nothing particularly earth-shattering about the government seeking more time. Indeed, it is rather routine. But <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.supremecourt.gov/DocketPDF/25/25A228/370626/20250828131034393_25a___US_v_Darby_Development--Cert_Ext_Appl-rev.pdf">the request</a> included a somewhat unusual peek behind the Solicitor General curtain. We suppose the SG could have just asked for more time, and it would have been granted. But the request included an indication that there's a bit of contention within the government about whether to file, or not file:</blockquote>

The additional time sought in this application is needed to continue consultation with components of the federal government, and to assess further the legal and practical impact of the court’s ruling. <blockquote>Who likes paying a lot for prescription medications? Anyone?</blockquote>
<blockquote>Oregon sure didn't like it, and it was going to do something about it. In 2018, it adopted a statute the "Prescription Drug Price Transparency Act," which requires manufacturers to report to the State information about costs, revenues, and prices of certain prescription drugs. The Act also requires the State to disclose, in the public interest, much or all of that information to the public, provided that information is not a trade secret. Oregon has not actually disclosed any trade secrets.&#0160;</blockquote>
<blockquote>An industry association (PhARMA) sued, asserting <em>inter alia</em>, a facial takings claim. The District Court granted PhRMA summary judgment, concluding that the publication of trade secrets under the public-interest exception is a taking requiring compensation.&#0160; &#0160;</blockquote>
<blockquote>In <em><span class="asset  asset-generic at-xid-6a00d83451707369e202e860f28a33200b img-responsive"><a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/files/24-1570.pdf">Pharmaceutical Research and Manufacturers of America v. Stolfi</a></span></em>, No. 24-1570 (Aug. 26, 2025), the U.S. Court of Appeals for the Ninth Circuit reversed.&#0160;</blockquote>
<blockquote>The court first held that PhARMA had associational standing because its members were injured in fact by the Act, even though Oregon has not actually invoked the public interest exception and publicly disclosed trade secrets. There's a credible threat of enforcement and the public interest exception (and disclosure) could be triggered by an agency determination that disclosure is nonetheless required. "We conclude that the risk of future injury is sufficiently nonspeculative to establish injury in fact." Slip op. at 58.</blockquote>
<blockquote>Next, the court concluded the takings claim was ripe. The Article III component of ripeness was satisfied by the court's prior determination that PhARMA had standing. Regarding final decision (prudential) ripeness, the court held that because the challenge here is facial ("a declaration stating that every disclosure under the public-interest exception...constitutes an unconstitutional taking"), the ripeness question is "properly addressed as part of the merits," and thus the court was willing to address the issue.&#0160;</blockquote>
<blockquote>Next, the court rejected PhARMA's claim that the takings claim should be evaluated under <em>Lucas</em>'s economic wipeout theory. Trade secrets are intangible personal property and not land, and the record here is not clear that disclosure of trade secrets would render the trade secret totally useless.</blockquote>
<blockquote>And most importantly, in <em>Ruckelshaus v. Monsanto Co.</em>, 467 U.S. 986 (1984), the only case in which the Supreme Court addressed takings of trade secrets, the Court applied the <em>Penn Central</em> standard. Applying<em> Penn Central</em>, the Ninth Circuit concluded that PhARMA's members could not satisfy the "interference with distinct [or reasonable] investment-backed expectations" because this is a highly-regulated environment in which owners of trade secrets have to know that they are entering a field in which trade secrets are not, you know, truly secrets. This has always seemed like a bootstrap rationale to us, where allegedly overregulation of activity is justified on the basis of the overegulation itself. But the court concluded otherwise:</blockquote>
<blockquote>
<blockquote>As a starting point, then, manufacturers ought to be aware of the heightened possibility that regulations may be enacted requiring disclosure of the exact type of information that may be commonly claimed as a trade secret under HB 4005.</blockquote>
</blockquote>
<blockquote>Slip op. at 66.&#0160;</blockquote>
<blockquote>Next, the Ninth Circuit sidestepped Palazzolo's conclusion that an owner does not forfeit a takings claim simply because of the existence of a regulatory scheme. Some form of trade secret restrictions have been in place in Oregon since 1987, so it is your fault, PhARMA members, that you got into this highly regulated field:</blockquote>
<blockquote>
<blockquote>Oregon law has precluded trade secret misappropriation claims based on the public disclosure of trade secrets where “the public interest requires disclosure” since the State first adopted the Uniform Trade Secrets Act in 1987. See 1987 Or. Laws Ch. 537 § 8(3) (Oregon Uniform Trade Secrets Act, now codified at Or. Rev. Stat. § 646.473(3)); 1973 Or. Laws Ch. 794 § 11 (Oregon’s Public Records Law, now codified at Or. Rev. Stat. § 192.345(2)). The State’s general practice of disclosing trade secrets in furtherance of the public interest further diminishes manufacturers’ reasonable expectations of strict confidentiality in all cases.</blockquote>
</blockquote>
<blockquote>Slip op. at 67.&#0160;</blockquote>
<blockquote>Finally, Oregon (unlike the federal government in <em>Monsanto</em>) had provided no assurances of confidentiality. If you want to play in our market, says Oregon, you have to play by our rules. And if you don't like it, go sell your lifesaving drugs somewhere else:</blockquote>
<blockquote>
<blockquote>However, just as in Monsanto, the benefit provided to manufacturers is the ability to sell a highly regulated product in a government-regulated market. In Monsanto, the Supreme Court explained that in “those situations where [Monsanto] deems the [trade secret] data to be protected from disclosure more valuable than the right to sell in the United States,” it can “decide to forgo registration in the United States and sell a pesticide only in foreign markets.” 467 U.S. at 1007 n.11. Here, manufacturers have a similar choice. If they decide the value of protecting their trade secrets from potential disclosure to be more valuable than the right to sell in Oregon, they can decide to forego pharmaceutical sales in the state and limit their product sales to other states and foreign markets.</blockquote>
</blockquote>
<blockquote>Slip op. at 70-71.&#0160;</blockquote>
<blockquote>There's a reason why the "investment-backed expectations" factor is the most criticized by critics of <em>Penn Central</em>. Yeah, it was made up whole cloth by a law review article and <em>sua sponte</em> inserted into the opinion without the benefit of briefing and arguments (<a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2023/12/groping-in-a-fog-bound-by-oath-podcast-s2-e3-regulatory-takings-penn-coal-and-penn-central-unplugged.html">as Professor Gideon Kanner explained</a>), but more critically, it is mostly a device which is deployed to allow a court to conclude no taking even where the other two <em>Penn Central</em> factors cut in favor of the owner. After all, what industry or use of property <em>isn't</em> regulated these days? Can't think of any. The investment-backed expectations seems more like a get-out-of-jail free card than a basis for principled analysis.&#0160;</blockquote>
<blockquote>For good measure, the Ninth Circuit also held that the other two <em>Penn Central</em> factors favor Oregon. There's no showing that disclosure would wipe out the use or value of every secret disclosed (so shame on you, PhARMA for bringing this as a facial challenge, chided the court), and the character of the government action is more like a readjusting of the ups-and-downs of economic life than an exercise of eminent domain. Slip op. at 75.&#0160;</blockquote>

<blockquote>Recall that <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2025/07/tex-app-challengers-likely-to-succeed-.html">a couple of months ago</a>, the court of appeals held that the challengers were likely to succeed in their challenge to Dallas's short-term rental ban. The case was up on appeal from a preliminary injunction, so there wasn't a lot in that decision.&#0160;</blockquote>
<blockquote>Now, we have a decision after fuller consideration after the city asked for <em>en banc</em> review. In <em><span class="asset  asset-generic at-xid-6a00d83451707369e202e860f27a98200b img-responsive"><a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/files/city-of-dallas-v-dallas-short-term-rental-alliance-07182025.pdf">City of Dallas v. Dallas Short-Term Rental Alliance</a></span></em>, No. 05-23-01309 (July 18, 2025), the court again concluded that the challenger property owners were likely to succeed on their claim that the city's ban on short-term renting violated the due-course-of-law requirement under the Texas Constitution:</blockquote>

<blockquote>Under the circumstances, we conclude appellees Dallas Short Term-Rental Alliance, Sammy Aflalo, Vera Elkins, and Denise Lowry proved their probable right to relief against the City’s zoning ordinance under their due-course-of-law argument because they alleged they possessed well-established rights to lease their property and presented evidence tending to show that the City would deny them those rights by enforcing the zoning ordinance at issue.</blockquote>

In <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.druganddevicelawblog.com/2009/08/life-expectancy-of-legal-blog.html">interweb years</a>, that's quite a while, even though we're still in our teens.&#0160;</blockquote>
<blockquote>Thanks to you, our readers and contributors, we're still here, and still going pretty strong over <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2025/08/our-5000th-post.html">5,000 posts</a> and nearly two decades later. We can't post every day, but we try to keep current.</blockquote>

<p>It seems appropriate on our birthday to announce that although we've been hosted on one of the original platforms, Typepad, since the beginning, <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.techradar.com/pro/long-beloved-typepad-blogging-platform-is-shutting-down-for-good">our host has recently announced it is shutting down</a>. Which means we're moving.</p>
<p>But that will be behind the scenes. You will still find us at our same address (<em>www.inversecondemnation.com</em>) and you won't see a difference in content. We will, however, take the opportunity of moving to a new host to give the site an improved look -- a little modernization and spiffing up.&#0160;</p>
<p>We're still figuring that part out, so please bear with us as we make some backend updates updates. (And <a href="mailto:inversecondemnation@outlook.com">let me know</a> what you are seeing on your side, and whether you like -- or dislike -- the new visuals).&#0160; &#0160;</p>

<blockquote>The court concluded that Arizona's abandoned property statute is not a taking, because the State was not exercising or claiming some kind of ownership of abandoned property (as in those cases where abandoned property escheats to the government), but was merely holding it in trust until the owner claims it (or doesn't).</blockquote>
<blockquote>Arizona's Unclaimed Property Act allows the state to take possession of property that is "presumed abandoned." Not a big surprise there, as our system of property is built on the assumption that the active user of property has better rights than the owner who neglects it (think adverse possession, for example). Arizona's UPA deems property to be abandoned if an owner has not "indicated an interest" in that property for a period of time, usually one to three years.&#0160;There's a process (and a <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://azdor.gov/unclaimed-property">website</a>, of course) detailing what the State does with the property that has been abandoned, how owners are notified, and how they can get it back.&#0160;</blockquote>
<blockquote>First, the court rejected the state's argument that the plaintiffs do not have a property right because Arizona law does not recognize an interest in "insist[ing] that unclaimed property be held by a third party for the rest of time." Slip op. at 15. The court rightly concluded that this argument "turn[s] the analysis into a circular mess" because "[p]laintiffs would be required to allege a deprivation of their property interest in preventing a deprivation of their property." <em>Id.</em></blockquote>
<blockquote>You'd be surprised how often courts get wrapped up in similar arguments about what is "property." The government often tries to define the property narrowly, and not "intuitively" as the Supreme Court does, and argues that the property right is the very activity that it being challenged. For example, we've all dealt with the argument that there's no property in a discretionary land use permit (and thus no right to due process) because the permit is discretionary and can be denied for any reason not arbitrary. As the Ninth Circuit noted, "circular."</blockquote>
<blockquote>However, the court made short work of the takings argument, concluding that Arizona's UPA doesn't authorize the state to take possession or claim ownership of unclaimed property, but merely to hold it in "in trust" for the benefit of the owner:</blockquote>

<blockquote>Plaintiffs’ takings claim is easily resolved under our precedent. The Fifth Amendment guarantees that “private property [shall not] be taken for public use, without just compensation.” U.S. Const. amend. V. This guarantee is enforceable against the states. <em>Sheetz v. County of El Dorado</em>, 601 U.S. 267, 276 (2024) (recognizing that the Takings Clause is incorporated against the states via the Fourteenth Amendment). To state a takings claim, a plaintiff must allege: (1) that the plaintiff owns “private property”; (2) that the private property was “taken” for “public use”; and (3) that the taking entity did not pay “just compensation” for it. <em>Zeyen v. Bonneville Joint Dist</em>., No. 93, 114 F.4th 1129, 1139 (9th Cir. 2024). The district court held that Plaintiffs did not allege the second element. We agree.</blockquote>
<blockquote>In <em>Taylor I</em>, we held that where unclaimed property is “held in trust” by the state, the property “has not been taken at all.” 402 F.3d at 936. Plaintiffs allege that the Department holds their unclaimed property in custody for their benefit. Therefore, per <em>Taylor I</em>, Plaintiffs have failed to state a takings claim.<sup>3</sup></blockquote>

<blockquote>The plaintiff wasn't totally out of luck however. The Ninth Circuit vacated the district court's determination that the lack of notice to owners of abandoned property was not a due process problem. Instead, the Ninth Circuit held that the plaintiffs adequately alleged that they possess a property interest in the unclaimed property, and thus were entitled to notice. Although holding unclaimed property in trust isn't a taking, it might be a deprivation. And if so, some kind of process may be due:</blockquote>

<blockquote>Plaintiffs allege that the notice was inadequate here because the UPA does not require pre-deprivation notice sent by Arizona and post-deprivation notice by newspaper publication is insufficient. Indeed, Arizona’s law only requires that pre-deprivation notice be given by the holder: at least 120 days before the holder files an unclaimed-property report and transfers the property to the Department, it must, subject to some exceptions, “send a written notice to the apparent owner that states that the holder is in possession of the [unclaimed] property.” Ariz. Rev. Stat. § 44-307(E). And after the Department receives unclaimed property, the UPA requires only that the Department “publish a notice at least semiannually . . . directing the public to the department’s website regarding abandoned property . . . .” <em>Id.</em> § 44-309(A). The Department’s website must list the apparent owner’s name and last known address and describe the property. <em>Id.</em> Under <em>Taylor II</em>, Plaintiffs have plausibly alleged that they did not receive adequate process. Accordingly, we conclude that they have sufficiently stated a due-process claim to survive a motion to dismiss.</blockquote>

United States</a></span></em>, No. 23-1956 (Aug. 8, 2025), pensioners challenged Congress's 2014 reduction of benefits as a taking, alleging both physical and regulatory theories. As you might expect, there's a lot going on in this area, and there's enough ERISA goodness in this opinion to satisfy the most committed maven. Check out pages 3-8 for a pension primer. (And here you thought takings is a complex area.)</blockquote>
<blockquote>The short story is that in 2014 after it "became concerned about the fiscal health of many of the nation's multiemployer pension&#0160; plans," slip op. at 9, Congress amended ERISA to deal with the actual or threatened insolvency of multiemployer pension funds. What happens if a pension is obligated to pay, but would also "experience financial difficulties that resulted in an inability to pay the promised benefits[?]" Slip op. at 3. The future did not look bright.</blockquote>
<blockquote>The 2014 amendments allowed plan administrators that are deemed to be in danger to amend such plans to temporarily -- or even permanently -- suspend benefits. Congress deemed this necessary to "reallocat[e] the shortfall burden across all plan beneficiaries (with some narrow exceptions, e.g., those over 80 or disabled), while continuing to protect pension benefits to the maximum extent possible." Slip op. at 10. These reductions in benefits cannot be focused on any one group, but must be "equitably distributed," with a maximum reduction allowed. No reductions are effective until a vote by plan participants.&#0160;</blockquote>
<blockquote>When Teamsters union plan administrators determined that their plan was in danger of becoming insolvent in less than 14 years, these provisions were invoked and after meeting the standards noted above, a reduction in plan benefits was put into place. Class action lawsuit followed in the Court of Federal Claims, asserting the reduction was a taking of private property.&#0160;The CFC granted the federal government summary judgment.&#0160;</blockquote>
<blockquote>The Federal Circuit affirmed.&#0160;</blockquote>
<blockquote>The Federal Circuit first noted that pension benefits are not truly "property," but "more in the nature of a contract." Slip op. at 3. That said, "contracts and the rights they secure" may be property. Slip op. at 16. However, while it may be true that a vested pensioner has a contractual right to receive a certain level of benefits from an employer, it does not follow that the person also has an equitable or property interest in the plan itself such that the government is liable for a taking for any reduction. <em>Id.</em> ("The fact that employees’ rights under a plan are vested simply means that they became vested contract rights, which have been earned by working for a specified number of years, and which the employer cannot eliminate.").&#0160;</blockquote>
<blockquote>The bottom line here:&#0160;&#0160;</blockquote>
<blockquote>
<blockquote>We assume, without deciding, that the plaintiffs have identified a cognizable contract right under the Plan documents, which constitutes property for purposes of a takings analysis, <em>see A & D</em>, 748 F.3d at 1152, though they do not hold a property interest in the assets of the Plan itself. The Claims Court concluded that the plaintiffs “identified a cognizable property interest in receiving their unreduced and vested pension benefits at a level contractually promised by the Teamsters Fund plan agreement.” King II, 165 Fed. Cl. at 626. While the government disagrees with this holding, it “has not appealed the finding of a cognizable interest.” Appellee’s Br. 17; see also id. at 20–30. In light of our conclusion that there was no taking here, we assume that the Claims Court correctly articulated plaintiffs’ protected property interest.</blockquote>
</blockquote>
<blockquote>Slip op. at 16-17.</blockquote>
<blockquote>The court next concluded that this did not result in a physical taking because this is not a physical or intangible personal property, but a contract right. Congress here merely readjusted the rights and obligations under third-party contracts. That's right folks, we're talking that infamous case, <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://supreme.justia.com/cases/federal/us/261/502/"><em>Omnia Commercial Co. v. United States</em></a>, 261 U.S. 502 (1923) which held no taking when the feds "requisitioned" the steel that was allocated by contract to Omnia, and directed the supplier to send all the steel to the government. The Court held that the contract was not taken, but rather merely "ended."</blockquote>
<blockquote>In short, destruction of contract rights by a valid exercise of government power is just one of those commercial risks that the contracting parties have to absorb. The Federal Circuit was not persuaded by cases such as Cedar Point, which the court held "all involved the government's appropriation of specific physical or intangible property for its own use or the use of others, not the modification of contractual obligations owed by third parties." Slip op. at 23&#0160;</blockquote>
<blockquote>On the regulatory taking (<em>Penn Central</em>) theory, the Federal Circuit held that the economic loss 29% for five years here was not "severe," that the pensioners should not have relied on a statutory government program that is subject to frequent alteration, and that the character of the government action here is one of "substantial public purpose." Slip op.at 32. The point here was to avoid insolvency.&#0160;&#0160;</blockquote>

So much so that we <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/files/town-of-apex-v-rubin-nc-plf-amicus-brief-final-2.7.24.pdf">filed an amicus brief</a> in support of the property owner.</blockquote>
<blockquote>In<span class="asset  asset-generic at-xid-6a00d83451707369e202c8d3db06cd200c img-responsive"> <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/files/2025.08.22---opinion.pdf"><em>Town of Apex v. Rubin</em></a></span>, No. 206PAA21 (Aug. 22, 2025), the North Carolina Supreme Court held that&#0160;<span class="css-1jxf684 r-bcqeeo r-1ttztb7 r-qvutc0 r-poiln3">if a taking is determined to be for private benefit and not a public use or purpose, title and right of possession "revest" with the original owner. </span></blockquote>
<blockquote><span class="css-1jxf684 r-bcqeeo r-1ttztb7 r-qvutc0 r-poiln3">The court also held that if, as here, the condemnor had already seized the land and completed construction, a court is not powerless to address it and may order the condemnor to "restore the land to its pre-construction condition. Whoa.</span></blockquote>
<blockquote><span class="css-1jxf684 r-bcqeeo r-1ttztb7 r-qvutc0 r-poiln3">In short, this is an important one that is well worth your review.&#0160;</span></blockquote>
<blockquote><span class="css-1jxf684 r-bcqeeo r-1ttztb7 r-qvutc0 r-poiln3">Before we get underway, a note: recall that the North Carolina Constitution does not have a "takings" or "just compensation" clause. Does that mean that property owners are out of luck and that government can just take property for any use and without compensation? Of course not. The NC courts have long interpreted the state constitution's <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2025/02/i-like-old-property-we-return-to-the-short-circuit-podcast-to-talk-law-of-the-land-magna-carta.html">Law of the Land Clause</a> as incorporating the public use and just compensation principles. "No person shall be taken, imprisoned, or disseized of his freehold, liberties, or privileges, or outlawed, or exiled, or in any manner deprived of his life, liberty, or property, but by the law of the land." N.C. Const. art. I, § 19</span></blockquote>
<blockquote><span class="css-1jxf684 r-bcqeeo r-1ttztb7 r-qvutc0 r-poiln3">How <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2025/02/nc-law-of-the-land-clause-doesnt-bar-legislature-from-reviving-sold-tort-claims.html">O.G. is that? Much Magna Carta</a>.&#0160;</span></blockquote>
<blockquote>Back to our story.&#0160;</blockquote>
<blockquote>The Town of Apex, North Carolina ("<em><a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.apexnc.org/">The Peak of Good Living</a></em>"), sought to take an easement across Rubin's land. She objected, asserting the taking was not for a public use or purpose, but rather to benefit a private party: a developer who needed the easement to connect two of his non-contiguous parcels to the municipal sewer system, a precondition of the Town's development approvals for his proposed residential subdivisions.</blockquote>
<blockquote>But while Rubin's public use objection was pending, the Town went ahead at installed the sewer line, purportedly under its quick-take power. That was not the best of moves, however, because the courts eventually agreed with Rubin that the taking violated the public use requirement. So here's where we are: the Town was now illegally occupying Rubin's property.</blockquote>
<blockquote>Now what? The Town argued it was <em>fait accompli</em> -- all you can do is sue us for just compensation in an inverse action. But Rubin didn't want compensation (if she did, she presumably would not have objected to the taking). She wanted the sewer off her land. The Town argued that the only way for her to obtain that remedy was for her to sue in a common law tort trespass action and seek seeking a writ of ejectment or an injunction. (Rubin hadn't done either of these.) She argued that she didn't need to do that, and the court in the eminent domain action had all the authority it needed to order the Town to get off her land.</blockquote>
<blockquote>The <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2021/05/what-if-a-court-invalidates-a-taking-but-they-take-it-anyway.html">court of appeals was appropriately horrified</a> by the Town's actions. It noted that "[t]he Town’s argument is not supported by the facts or the law." But it concluded that although the Town grossly exceeded its powers and violated Rubin's rights, Rubin had not sought the proper remedy, and in order to get the Town off her property, she needed to have sued in trespass.&#0160;</blockquote>
<blockquote>Both parties asked the North Carolina Supreme Court for discretionary review. The <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2023/10/nc-supreme-court-to-consider-remedies-for-failed-takings-what-happens-when-a-taking-lacks-a-public-u.html">court agreed to take up the case</a>, and just about 11 months ago, <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2024/09/unringing-the-bell-nc-supreme-court-arguments-what-happens-if-a-taking-lacks-a-public-use-but-they-t.html">it heard oral arguments</a>.&#0160;</blockquote>
<blockquote>The unanimous court held that a judicial determination that a taking is for a private purpose and not a public use is void ab initio:</blockquote>
<blockquote>
<blockquote>We are asked if a trial court determines that a municipality’s exercise of eminent domain was for a private purpose, rather than a public purpose, does title and right of possession revest with the original landowner? We hold it does. After all, deciding otherwise would render the Takings Clause meaningless.</blockquote>
</blockquote>
<blockquote>Slip op. at 2.</blockquote>
<blockquote>Next, the court held that courts have the "inherent authority" to issue a restoration order in the right circumstances:</blockquote>
<blockquote>
<blockquote>And if the municipality has already completed construction on the taken land, our courts possess the inherent authority to restore the land to its pre-construction status by issuing a mandatory injunction. Whether such an injunction issues depends on a weighing of the “equities, hardships, and the interests of the public and of third persons,” and that weighing rests within the province of a trial court.</blockquote>
</blockquote>
<blockquote><em>Id.</em>&#0160;</blockquote>
<blockquote>The court rejected the Town's argument that the only relief an owner has in these situations is inverse condemnation. Recall that the Town had physically seized the land and built the sewer, after which it claimed that all Rubin could do was sue it for just compensation in an inverse action. The court held no, this was an attempt by the Town to redefine the term "inverse condemnation."</blockquote>
<blockquote>After all, the Town had tried to formally exercise the eminent domain power, but had been rebuffed. And inverse is reserved for cases "when the government—acting intentionally or unintentionally—takes land <em>outside</em> of the eminent domain process[.]" Slip op. at 21 (emphasis added). The court concluded, "such an action is only available if the taking is informal—“no complaint and declaration” were filed. ... Thus, if the government entity has initiated formal condemnation proceedings, no inverse condemnation takes place or, under our statutes, could have taken place." <em>Id</em>.&#0160;</blockquote>
<blockquote>The court recognized that the Town was trying to strip Rubin of her property right to keep her land, unless and until the Town did the condemnation properly. The court agreed with the lower courts that the attempt to take Rubin's land was "null and void," but at the same time rejected the lower courts' conclusion that the only remedy was for her to obtain an injunction to stop the Town from building the sewer (and that once the construction was done, it was too late).&#0160;</blockquote>
<blockquote>The Supreme Court concluded that null-and-void means null-and-void:</blockquote>
<blockquote>
<blockquote>But the trial court acted under a misapprehension of the law because the effect of the Private Purpose Judgment was to revest title in Ms. Rubin, not to erase the fact that Apex did seek formal condemnation of the land. As this Court recognized in Thorton, when a government entity enters land relying “upon its own opinion as to its authority” and “that opinion was erroneous, the [landowners] are entitled to have the [Direct Condemnation Action] dismissed, leaving them to whatever rights they may have against those who have trespassed upon their land and propose to continue to do so.” <em>Id.</em> at 240.</blockquote>
<blockquote>Further, the Private Purpose Judgment’s “null and void” language does not operate as a time machine; it does not undo the fact that Apex filed a complaint and then entered the land relying upon its own opinion that the taking was for a public purpose. Ms. Rubin did not have an action, and thus remedy, for inverse condemnation under N.C.G.S. § 136-111 because Apex filed a complaint and declaration of taking; inverse condemnation only occurs when the government entity takes an interest in land without filing a complaint.</blockquote>
</blockquote>
<blockquote>Slip op. at 24.&#0160;</blockquote>
<blockquote>Next, the Supreme Court held that courts have the "inherent authority to grant relief where a constitutional right has been infringed upon." Slip op. at 27. The owner did not need to have affirmatively asked for an injunction. To determine whether an injunction ordering the Town to remove the sewer and restore the land to its pre-invasion condition, the court required a "weighing of the equities." Because weighing of these equities is a matter for trial courts in the first instance, and the trial court here had not undertaken any such inquiry, the court sent the case back down:</blockquote>
<blockquote>
<blockquote>On remand, in weighing the equities, the trial court should consider whether Apex acted in good faith when it installed the sewer line notwithstanding Ms. Rubin’s notice of intent to challenge. <em>See Williams</em>, 82 N.C. App. at 384. The trial court should also consider the impact on the fifty homeowners that rely upon the sewer line. The trial court is not precluded, for example, from considering whether, in ordering different mandatory injunctive relief, Apex should install a replacement sewer line or pumping station, then remove the offending sewer line, and pay Ms. Rubin a reasonable rental rate for the time period when the sewer line was on her property. Likewise, the trial court is not precluded from determining that monetary damages are the least intrusive remedy. But the trial court should take care to ensure that money damages do not merely give Ms. Rubin the value of the property taken from her in 2015. Such a remedy would be what Apex would have paid had it been successful in the 2015 Direct Condemnation Action or the 2019 Inverse Condemnation Declaratory Judgment Action, had this taking been deemed constitutional. As we rejected above, Apex securing the line and paying what it wanted to pay in 2015 cannot be a meaningful remedy for a constitutional violation. As part of the totality of the circumstances analysis, the trial court is authorized to accept evidence on the range of appropriate remedies and damages, from what it would have cost to construct an alternative sewer line that did not cross Ms. Rubin’s property to how property values have changed over the last decade.</blockquote>
</blockquote>
<blockquote>Slip op. at 30-31.&#0160;</blockquote>
<blockquote>One Justice concurred, noting that this case is unusual ("procedurally abnormal"), and expressing his "hope that the procedural tangle here does not create procedural issues in the future." Slip op. at 33 (Newby, J., concurring in part and concurring in the result only in part).&#0160;</blockquote>
<blockquote>For those of you outside of North Carolina's borders, this case is still worth recording in your data banks because it reaffirms several essential points:</blockquote>
<blockquote>
<ul>
<li>A taking that lacks a public use or purpose is <em>void ab initio</em>, not merely voidable. It is simply beyond the power of the government to take property without a public use.</li>
<li>The boundaries established by the Constitution are there for a purpose. The Town deservedly has egg on its face because it didn't respect those boundaries and the inherent limitations on its power.&#0160;</li>
<li>A court has the inherent power to order a remedy when the government doesn't stay within the constitutional lines. You have no obligation to sue stop it. As our <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/files/town-of-apex-v-rubin-nc-plf-amicus-brief-final-2.7.24.pdf">amicus brief argued</a>, we believe the court in the eminent domain action has all the power it needs to enforce constitutional rights.</li>
<li>The risk of "just build it" falls on the condemnor, not the property owner.&#0160;&#0160;</li>
</ul>
</blockquote>
<blockquote>At heart, this case affirms the <a href="http://feeds.feedblitz.com/~/t/0/0/inversecondemnation/~https://www.inversecondemnation.com/inversecondemnation/2018/09/new-article-the-takings-keepings-clause-an-analysis-of-framing-effects-from-labeling-constitutional-.html">right of owners to keep their property</a>, unless and until the government gets it right.&#0160;</blockquote>
